Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products, services, and software provided by MorPro Inc. ("MorPro," "we," "us," or "our"), including NextMS TMS, GoSpotty, MorPro Manifest, MorPro Launch, MorPro Fleet, MorPro Education, MorPro OS, TAAS, and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing the Services, or signing an order form, you confirm that you have read, understood, and agree to these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Account & Eligibility
You must be at least 18 years old and legally able to enter into contracts to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Subscription & Billing
The Services are billed on a subscription basis. Fees are charged per truck, per month, in advance, based on your selected plan. Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle. Annual plans receive a discount as listed on our Pricing page.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of FMCSA, DOT, or applicable carrier regulations.
- Reverse engineer, decompile, or attempt to extract source code from the Services.
- Resell, sublicense, or transfer the Services without written consent.
- Upload data that infringes third-party intellectual property or contains malicious code.
- Use automated systems to scrape, harvest, or extract data from the Services.
5. Customer Data
You retain all rights to data you upload, generate, or transmit through the Services ("Customer Data"). MorPro accesses Customer Data only to operate the Services, provide support, and improve product performance, in accordance with our Privacy Policy. We do not sell Customer Data.
6. Service Availability
We target 99.9% monthly uptime on Scale and Enterprise plans, excluding scheduled maintenance. Service Level Agreements (SLAs) are detailed in your order form. Outages, when they occur, are communicated through our status page and email notifications.
7. Confidentiality
Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
8. Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We may suspend or terminate your access for material breach of these Terms, non-payment, or unlawful use.
9. Disclaimers & Limitation of Liability
The Services are provided "as is." To the fullest extent permitted by law, MorPro disclaims all warranties, express or implied. MorPro's total liability for any claim arising under these Terms is limited to the fees paid by you in the twelve months preceding the claim.
10. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Disputes will be resolved in the state or federal courts located in Harris County, Texas.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.
